Terms and Conditions - Professional Tourist Guides and Tour Providers


The company MEETRIP SAS, a simplified joint-stock company with a capital of 20,000 Euros, registered on the Register of Commerce of Paris under number 800 709 594, and whose head office is located at 78 avenue des champs élysées, 75008 Paris (hereinafter “MEETRIP”) operates the website accessible from the address www.meetrip.com and from the MEETRIP mobile application, from which it offers services in accordance with the following conditions (hereinafter “Terms and Conditions”). The Terms and Conditions are applicable to all relations between MEETRIP and a Professional Tourist Guide or Tour Provider, as defined hereinafter. MEETRIP seeks to promote connections with Users (natural or legal persons) with Professional Tourist Guides and Tour Providers (natural or legal persons), with a view to providing clients with exceptional tourist experiences. MEETRIP proposes its Intermediary Services in the form of an online platform that establishes contact between Users and Professional Tourist Guides and Tour Providers; MEETRIP can by no means be defined as a travel agent.

ARTICLE 1 - GLOSSARY

Words beginning with a capital letter will be attributed the meanings so defined in the present Article, whether singular or plural:

1.1 “Terms and Conditions or Ts&Cs”: states the present terms and conditions regarding the partnership between MEETRIP and Professional Tourist Guides or Tour Providers offering their client services to natural or legal persons;

1.2 “Professional Tourist Guide”: refers to all professionals who meet the necessary requirements to work as a professional guide, as well as the conditions of article 4 in the present terms and conditions, and have created a Professional Tourist Guide Account exclusively on the MEETRIP Website (not on the Mobile Application);

1.3 “Tour Provider”: refers to all natural or legal persons offering client services but who do not meet the criteria of Professional Tourist Guide and who have created an Tour Provider Account exclusively on the MEETRIP Website (not on the Mobile Application);

1.4 “Booking”: a purchased order of client service(s) offered by a Professional Tourist Guide or Tour Provider placed by a User through the MEETRIP Website in advance or on location using the Mobile Application, in accordance with the conditions defined in Article 6;

1.5 “Client Account”: refers to an individual account attributed to a User, in order to create a profile on the MEETRIP Website and access Intermediary Services, as well as Professional Tourist Guides and Tour Providers;

1.6 “Professional Tourist Guide Account”: refers to an account attributed to a Professional Tourist Guide following their registration on the webpage “Become a Professional Tourist Guide”, which enables them to create their Professional Tourist Guide Profile and Tour Pages, which in turn allow them to offer Client Services through Meetrip;

1.7 “Tour Provider Account”: refers to an account attributed to a Tour Provider following their registration on the page “Business Propositions”, which enables them to create Guided Tour Pages, which in turn allow them to offer Client Services through Meetrip;

1.8 “Content”: refers to all content published by a User, Tour Provider or Professional Tourist Guide on the MEETRIP Website or Mobile Application;

1.9 “Client Services”: refers to all client services carried out by a Professional Tourist Guide or Tour Provider and booked by Users on the MEETRIP Website or Mobile Application;

1.10 “Professional Tourist Guide Profile”: refers to the MEETRIP profile of a Professional Tourist Guide and the Client Services they offer;

1.11 “Guided Tour Page”: refers to a MEETRIP webpage published by a Professional Tourist Guide or Tour Provider describing the Client Services that will be offered as part of their respective guided tour;

1.12 “Intermediary Services”: refers to the intermediary services offered by MEETRIP as so defined in Article 3 “Description of Intermediary Services”;

1.13 “The MEETRIP Website” or “Mobile Application”: refers to the website accessible from the address “www.meetrip.com” or from the MEETRIP Mobile Application for smartphones, operated by MEETRIP;

1.14 “User”: refers to all natural or legal persons who consult and/or use MEETRIP’s Intermediary Services on the MEETRIP Website or on the Mobile Application as a tourist wishing to book the Client Services of a Professional Tourist Guide or Tour Provider;

1.15 “Territory”: refers to France or any other countries in connection with MEETRIP’s establishment abroad;

1.16 “MEETRIP”: refers to the company that executes MEETRIP’s Intermediary Services of connecting Users with Professional Tourist Guides and Tour Providers, both on the MEETRIP Website and the Mobile Application for smartphones.

ARTICLE 2 - PURPOSE OF TERMS AND CONDITIONS

2.1 These Ts&Cs intend to specify the formalities of registration to Intermediary Services for Professional Tourist Guides or Guided Tour Providers, use of Intermediary Services by Professional Tourist Guides or Tour Providers, management of Bookings and fulfilment of Intermediary Services.

2.2 The clauses of these Ts&Cs are without prejudice to applicable law and regulations, especially those concerning the guided tour of Professional Tourist Guides and the mandatory public policy provisions of a given country.

2.3 Professional Tourist Guides and Tour Providers accept to conform to the clauses of the present Ts&Cs, accessible via the Form “Become a Professional Tourist Guide”, available on the MEETRIP Website. They expressly acknowledge having carefully read these Ts&Cs and accept them without reserve as soon as they click “I accept the Terms and Conditions”, as shown on the Form “Become a Professional Tourist Guide” and the page “Business Propositions”.

By clicking on “I accept the Terms and Conditions”, they acknowledge professional and legal ability to conclude such an agreement or to have at their disposal the authorisation of the entitled person. Intermediary Services are offered in Metropolitan France, in the French language, and also worldwide in numerous other languages.

2.4 The Tour Provider agrees to conform to the present Ts&Cs accessible via the Form “Business Propositions”, available on the Website. The Tour Provider expressly acknowledges having carefully read these Ts&Cs and their acceptance without reserve as soon as they click “I accept the Terms and Conditions”, as shown on the Form “Business propositions”.

Intermediary Services are offered in Metropolitan France, in the French language, and also worldwide in numerous other languages.

2.5 The Ts&Cs to be applied to Professional Tourist Guides and Tour Providers are those in effect on the MEETRIP Website or on the Mobile Application at the time they submit the Form “Become a Professional Tourist Guide” or “Business propositions”, and at any later time when using Intermediary Services. Professional Tourist Guides and Tour Providers are informed that these Ts&Cs may be subject to future modifications at MEETRIP’s discretion.

ARTICLE 3 - DESCRIPTION OF INTERMEDIARY SERVICES

3.1 Through the MEETRIP Website and Mobile Application, MEETRIP has created an online resource that firstly serves Professional Tourist Guides offering Client Services in professional guiding and Tour Providers offering Client Services in guided tours of all kinds, and secondly Users booking Client Services in the fields of tourism, culture and leisure, offered by Professional Tourist Guides or Tour Providers, enabling Users holding a Client Account to book in line with the conditions presently defined.

3.2 The Intermediary Services offered by MEETRIP can be defined as facilitating the following concerning Professional Tourist Guides, Tour Providers and Users:

  • • The provision of Client Services by Professional Tourist Guides and Tour Providers to Users in a specific geographical zone, within this Territory, according to a set of rates in euros (with and without tax). The Professional Guide or Tour Provider chooses in real time when they wish to offer their Client Services and at what rate, and can adapt these choices according to the geolocation of the User;
  • • The indication (via their Professional Tourist Guide or Tour Provider Account on their Professional Tourist Guide Profile or Guided Tour Page) of Professional Tourist Guides’ and Tour Providers’ availability to carry out Client Services, comprising of a calendar and schedule, the geographical area that they cover and a list of the Client Services offered, as well as a corresponding set of rates, of which the same applies for Content;
  • • The receipt of User Bookings by email and the User information necessary to carry out the Client Services, as the case may be;
  • • Communication with Users on the Website (except via phone or email; phone and email details of the Professional Tourist Guide or Tour Provider cannot be given to Users without Meetrip’s prior consent);
  • • Receipt of the MEETRIP newsletter.

ARTICLE 4 - ACCESS TO SERVICES

4.1 “Become a Professional Tourist Guide” Form

Professional Tourist Guides and Tour Providers are able to access Intermediary Services for free by logging in on the MEETRIP Website or on the Mobile Application (exclusive of internet connection costs, which are their responsibility), in order to follow the procedure detailed hereinafter:
The MEETRIP Website puts at their disposal the Form “Become a Professional Tourist Guide” by which they can indicate their surname, name, email address, phone number, postal address and a password.
Once they have completed their registration through the Form “Become a Professional Tourist Guide”, they receive an email notifying them of the creation of their Professional Tourist Guide Account.
The Professional Tourist Guide will be approved once MEETRIP has acknowledged their professional licence. From that moment on, they can log in and access the administration/management interface of their future Professional Tourist Guide Account.
Firstly, the Professional Tourist Guide is directed to the page entitled “My Details” on which they can fill in and update their information at any time.
Secondly, the Professional Tourist Guide can add to the page entitled “Additional Information” all of the necessary information for the creation of their Professional Tourist Guide Profile (photograph, date of birth, language skills, specialities, a brief description of the Professional Tourist Guide, whether they are have a car).
Thirdly, the Professional Tourist Guide will scan and send the following documents: proof of identity, criminal record or any other necessary documentation according to applicable law in the respective country testifying the absence of criminal convictions, bank account details and professional licence.
Possession of a professional licence is mandatory to obtain Professional Tourist Guide status.
Fifthly, the Professional Tourist Guide will be able to create guided tours and set the tour price inclusive of all taxes (per person or per group) and minimum and maximum number of participants, as well as being able to indicate the duration of the tour, the meeting place, whether or not children under 18 are welcome, tour schedules, additional fees payable by the User as part of the tour (e.g. entry passes) and the availability of this guided tour.
Sixthly, the Professional Tourist Guide must complete their registration by providing all of their billing information, their NI number if they have one, their tax number and the tax rate applicable to Client Services in their country, if they check the “yes” box regarding their tax liability, as well as any other applicable conditions in their country.
The Professional Tourist Guide is responsible for maintaining the confidentiality of their login and password details.
The Form “Become a Professional Tourist Guide” gives them the opportunity to link their future Professional Tourist Guide Account to their Facebook user account. By accepting to link their future Professional Tourist Guide Account to their Facebook user account, Professional Tourist Guides and Tour Providers acknowledge that Content posted on the MEETRIP Website or on the Mobile Application from their Professional Tourist Guide Account may also be posted on the Facebook website without their express action.
MEETRIP is in no way responsible for incorrect data transmitted by Professional Tourist Guides and Tour Providers, who retain full responsibility for any data provided to MEETRIP.
The Professional Tourist Guide remains responsible and expressly acknowledges having provided valid documents.
4.2 Form “Become a Tour Provider” on the page “Business propositions”

Tour Providers are able to access Intermediary Services for free by logging in on the MEETRIP Website or on the Mobile Application (exclusive of internet connection costs, which are their responsibility), in order to follow the procedure detailed hereinafter:

The Website MEETRIP puts at their disposal the Form “Become a Tour Provider”, which allows the Tour Provider to indicate their surname, name, email address, phone number, postal address and a password.
Once the Tour Provider has completed their registration through filling out the Form “Become an Tour Provider”, they will receive an email notifying them of the creation of their Tour Provider Account.
From that moment on, they can log in and access the administration/management interface of their future Tour Provider Account.
Firstly, the Tour Provider is directed to a page entitled “My Details”, by which they can fill in and update their information at any time.
Thirdly, the Tour Provider will scan and send the following documents: proof of identity, a declaration proving the absence criminal convictions and bank account details.
Fourthly, the Tour Provider will be able to create guided tours and set the rates for these guided tours inclusive of all taxes (per person or per group) and the minimum and maximum number of participants, as well as indicating the duration of the tour, the meeting place, whether or not children under 18 are welcome, tour schedules, additional fees payable by the User as part of the tour (e.g. entry passes) and the availability of this tour.
Fifthly, the Tour Provider must complete their registration by providing all of their billing information, their NI number if they have one, their tax number and the applicable tax rate for Client Services in their country, if they check the “yes” box regarding their tax liability, as well as any other applicable conditions in force in their country.
The Tour Provider is responsible for maintaining the confidentiality of their login and password.
The Form “Become a Tour Provider” gives them the opportunity to link their future Tour Provider Account to their Facebook user account. By accepting to link their future Tour Provider Account to their Facebook user account, Tour Providers acknowledge that the Content posted on the MEETRIP Website or on the Mobile Application through their Tour Provider Account may also be posted on the Facebook website without their express action.
MEETRIP is in no way responsible for incorrect data communicated by Tour Providers, who retain full responsibility for any data provided to MEETRIP.
The Tour Provider remains responsible and expressly acknowledges having provided valid documents.

4.3 Updating the Professional Tourist Guide and Tour Provider Account

Professional Tourist Guides or Tour Providers can view everything from their back-office. They can manage their personal information, create guided tours and personalise their Professional Tourist Guide or Tour Provider Account to distinguish them from competitors and attract Users. They can also manage, add or delete documents. As regards the deletion of documents, the Professional Tourist Guide or Tour Provider maintains their commitment to provide MEETRIP with all the requisite documents necessary for the creation of their Professional Tourist Guide or Tour Provider Account and to ensure their Professional Tourist Guide or Tour Provider Account still complies with MEETRIP’s original requirements.

MEETRIP reserves the discretionary right to remove without reserve or justification any Professional Tourist Guide or Tour Provider Account contravening these Ts&Cs or any applicable contractual/legal obligations to the latter as part of their guided tour, as well as any other obligation to which MEETRIP is subject.

4.4 Special Precautions

Professional Tourist Guides and Tour Providers are responsible for respecting all conditions of use concerning social networking websites connected with the MEETRIP Website, including but not limited to the websites Facebook and Twitter.

ARTICLE 5 - PROFESSIONAL GUIDED TOUR REGULATIONS

The Professional Tourist Guide recognises that the Professional Tourist Guide Tour is a regulated tour whose execution is governed by the applicable laws and regulations in force.

With respect to the regulations applicable to this guided tour, MEETRIP facilitates the creation of a Professional Tourist Guide Account, following the provision of proof of qualification as authorisation to carry out this guided tour. MEETRIP is not responsible for erroneous data provided by the Professional Tourist Guide, who remains wholly responsible for the details they communicate to MEETRIP. MEETRIP simply confirms that proof of qualification has been received by MEETRIP. However, MEETRIP reserves the right to refuse, at its discretion, to create a Professional Tourist Guide Account for an individual who does not meet the aforementioned conditions or any other regulatory requirements regarding the Guide’s tour.

ARTICLE 6 - BOOKINGS, PRICES AND PAYMENT METHODS

6.1 Instant Booking through the Mobile Application

Intermediary Services allow Users to book the Client Services offered by a Professional Tourist Guide by the means so defined in the User Ts&Cs.

When a Professional Tourist Guide has been contacted via the mobile application, they have 5 minutes to reply to the notification they received; if they don’t, the transaction is cancelled.

If the Professional Tourist Guide accepts, they go to the meeting place and must respect the time calculated by the application, to ensure that they arrive before the User starts to be charged.

The Professional Tourist Guide then commits to the fulfilment of Client Services.

6.2 Booking on the MEETRIP Website or on the Mobile Application

Intermediary Services allow Users to book the Client Services of a Professional Tourist Guide or Tour Provider by the means so defined in the User Ts&Cs.

The Professional Tourist Guide or Tour Provider accepts and goes to the meeting place on the predetermined day and time.

The Professional Tourist Guide or Tour Provider commits to the fulfilment of the Client Services as described on their Professional Tourist Guide Profile or Tour Provider Page.

6.3 Setting Rates

The Professional Tourist Guide or Tour Provider is able to set freely and at their discretion the rate for Client Services in euros, including VAT and all taxes applicable in their country.

The Professional Tourist Guide or Tour Provider is informed that the rate includes the following elements:

  • • the price of the Client Service with and without tax;
  • • the amount of commission owed to MEETRIP for the company’s expenses regarding the Intermediary Services necessary to facilitate the booking.

MEETRIP’s commission makes up 20% of the price of the Client Service inclusive of all taxes for each Booking, after any applicable discounts.

If need be, the elements described hereinafter will also need to be taken into account by the Professional Tourist Guide or the Tour Provider regarding the setting of their rates.

As such, the Professional Tourist Guide or Tour Provider acknowledges that MEETRIP will reimburse them the sum corresponding to the price paid for the booking, from which the commission for Intermediary Services will have been deducted.

The terms and conditions of Promotional Offers available on the MEETRIP Website, especially the duration, calculation and conditions of application, are determined at MEETRIP’s discretion only, about which the Professional Tourist Guide or Tour Provider will be duly informed when setting the rates of Client Services.

In the case that the Tour Provider, as part of their guide, is part of an organisation in the tourism sector (e.g. guiding agency, guiding association, incoming agency, business offering factory tours, leisure tours, tour operators), the organisation that they represent commits to offering its guided tours on MEETRIP at the lowest rate.

6.4 Payment and Commission

MEETRIP reimburses the sum of the service realized back to the Professional Tourist Guide or Tour Provider, according to the calculation indicated above, after the User has carried out the payment for the corresponding Booking.

The payment is made by MEETRIP within a period of fifteen (15) working days, from the moment the Client Service has been provided by the Professional Tourist Guide or the Tour Provider. This payment is made by bank transfer to the account of the Professional Tourist Guide or TourProvider using the bank account details they have given to MEETRIP.

In the case of a failure to pay the Professional Tourist Guide or Tour Provider the full or partial amount by the end of this period, the Professional Tourist Guide or Tour Provider can demand the implementation of a late payment penalty.

ARTICLE 7 - CLIENT SERVICES AND OBLIGATIONS

7.1 Delivery of Client Services

The Professional Tourist Guide or Tour Provider is wholly responsible for the delivery of a Client Service to a User. MEETRIP serves exclusively as an intermediary between and means of connecting Professional Tourist Guides and Tour Providers, and Users.

7.2 Obligations of Professional Tourist Guides and Tour Providers concerning bookings

The Professional Tourist Guide or Tour Provider is obligated to:

  • • Accept the booking;
  • • Inform MEETRIP of a change to the programme of the Client Service booked; If a User books a Professional Tourist Guide or Tour Provider in advance and the latter decides to change the guided tour offered, they are required to inform MEETRIP of this forthwith. If the User refuses this change, they reserve the right to then cancel their booking completely without charge and without any compensation to the Professional Tourist Guide or Tour Provider. The Professional Tourist Guide or Tour Provider must arrive on time and at the agreed location; by default or in case of cancellation, MEETRIP reserves the right to retain information concerning the cancellation in the form of details on the Professional Tourist Guide or Tour Provider Account concerned, and/or to publish this information on the corresponding Professional Tourist Guide or Tour Provider Profile, and/or to suspend access to Intermediary Services by the Professional Tourist Guide or Tour Provider in question.
  • - In the case of a User complaint following the late delivery of a Client Service by under twenty minutes, for a Client Service booked on the MEETRIP Website or through the Mobile Application, a Yellow Flag will appear in place of the compass rankings in the “Comments” section on the corresponding Professional Tourist Guide Profile or Tour Page.
  • - In the case of a User complaint following the late delivery of a Client Service by more than twenty minutes, for a Client Service booked on the MEETRIP Website or Mobile Application, an Orange Flag will appear in place of the compass rankings in the “Comments” section on the corresponding Professional Tourist Guide Profile or Tour Page.
  • - In the case of a User complaint following the late delivery of a Client Service by under ten minutes, for a Client Service booked on the Mobile Application, a Yellow Flag will appear in place of the compass rankings in the “Comments” section on the corresponding Professional Tourist Guide Profile.
  • - In the case of a User complaint following the late delivery of a Client Service by more than ten minutes, but up to thirty minutes, for a Client Service booked on the Mobile Application, an Orange Flag will appear in place of the compass rankings in the “Comments” section on the corresponding Professional Tourist Guide Profile.
  • - In the case of User complaint following a delay of more than thirty minutes, for a Client Service booked on the Mobile Application, a Red Flag will appear in place of the compass rankings in the “Comments” section on the corresponding Professional Tourist Guide Profile.

7.3 Cancellation or proposition of a replacement by the Professional Tourist Guide or Tour Provider for a Client Service booked on the MEETRIP Website or Mobile Application

In the case of a cancellation or the proposition of a replacement more than 72 hours before the date of the Client Service, the following applies: The Professional Tourist Guide or Tour Provider can cancel at their convenience all or part of the Client Service and propose another service provider of similar professional qualification and linguistic profile, who has agreed to act as a replacement to carry out the cancelled Client Service. MEETRIP is free to accept the proposed Professional Tourist Guide of Tour Provider or to choose and propose an alternative Professional Tourist Guide or Tour Provider from the platform. The User is free to accept the replacement or to ask the Professional Tourist Guide or Tour Provider who has made the cancellation for a full refund for the Client Service concerned. In any event, the Professional Tourist Guide or Tour Provider who has made the cancellation assumes full responsibility for the aftermath and consequences, direct or indirect, of their cancellation and their replacement, and MEETRIP can in no way be held responsible for losses relating to the cancellation and/or replacement Professional Tourist Guide or Tour Provider.

In the case of a cancellation less than 72 hours before the date of the Client Service, the following applies: The Professional Tourist Guide or Tour Provider can propose a replacement Professional Tourist Guide or Tour Provider of similar professional qualification and linguistic profile, who has agreed to act as a replacement to carry out all or part of the cancelled Client Service. MEETRIP is free to accept the proposed Professional Tourist Guide of Tour Provider or to choose and propose an alternative Professional Tourist Guide or Tour Provider from the platform. The User is free to accept the replacement or to ask the Professional Tourist Guide or Tour Provider who has made the cancellation for a full refund for the Client Service concerned. If the User is given prior warning of the cancellation and replacement:

  • • They accept, the replacement carries out the Client Service and a Yellow Flag appears in place of the compass rankings in the “Comments” section on the corresponding Professional Tourist Guide Profile or Tour Page.
  • • They do not accept and request a refund, MEETRIP refunds the User for the Client Service and deducts its 5% commission of the total price of the Client Service from the next payment of the respective Professional Tourist Guide or Tour Provider. A Yellow Flag appears in place of the compass rankings in the “Comments” section on the corresponding Professional Tourist Guide Profile or Tour Page.

If the User is not given prior warning of the cancellation and replacement, makes a complaint, and/or requests a refund, MEETRIP refunds the User for the Client Service and deducts an additional 15-20%* from the next payment of the respective Professional Tourist Guide or Tour Provider (*in addition to the usual commission rate). An Orange Flag will then appear in place of the compass rankings in the “Comments” section of the corresponding Professional Tourist Guide Profile or Guided Tour Page.

If a replacement for the Professional Tourist Guide or Tour Provider is not provided to carry out the Client Service, a Red Flag will appear in place of the compass rankings in the “Comments” section of the corresponding Professional Tourist Guide Profile or Guided Tour Page.

In any event, the Professional Tourist Guide or Tour Provider who has made the cancellation assumes full responsibility for the aftermath and consequences, direct or indirect, of their cancellation and their replacement, and MEETRIP can in no way be held responsible for losses relating to the cancellation and/or replacement Professional Tourist Guide or Tour Provider.

7.4 User Cancellation of a Client Service booked on the MEETRIP Website or the Mobile Application

In the case of a User Cancellation of a Client Service more than 48 hours before the date of the Client Service, MEETRIP will manage the question of refunds with the respective User and Professional Tourist Guide or Tour Provider, but will offer no form of reimbursement or compensation on MEETRIP’s part.

In the case of a User Cancellation of a Client Service less than 48 hours before the date of the Client Service, the User must pay MEETRIP 100% of the Client Service price, of which MEETRIP will retain 20% and 80% will be transferred to the respective Professional Tourist Guide or Tour Provider. In this case, fees incurred by the Professional Tourist Guide or Tour Provider (such as museum tickets, entry passes, etc.) are non-refundable and cannot be refunded by MEETRIP under any circumstances.

7.5 Cancellation of a Client Service booked on the Mobile Application by the Professional Tourist Guide

The Professional Tourist Guide who receives a Client Service request, and is therefore shown as available on the Mobile Application, is not obliged to accept the request. However if they accept, they must meet the User within the allocated time. As such, cancellation is no longer possible and in the case that the Professional Tourist Guide fails to turn up, a Red Flag will appear in place of the compass rankings in the “Comments” section of the corresponding Professional Tourist Guide Profile.

7.6 User Cancellation of a Client Service booked on the Mobile Application

The User, having booked a Client Service on the Mobile Application, can cancel their booking without charge during the 8 minutes following the Professional Tourist Guide’s acceptance of the request. After 8 minutes, the User will incur a cancellation charge to the sum of 15 minutes worth of the Client Service in question (at an hourly rate of approximately €70).

7.7 Justifiable grounds for cancellation

The Professional Tourist Guide or Tour Provider can request for MEETRIP to remove certain flags appearing on their Professional Tourist Guide Profile or Tour Page. The justifiable grounds for such a request to remove flags are detailed below:

  • • Illness (the Professional Tourist Guide or Tour Provider must therefore provide MEETRIP with a medical certificate)
  • • Case of force majeure in accordance with applicable law
  • • Accident or emergency (the Professional Tourist Guide or Tour Provider must therefore provide MEETRIP with justifying documentary evidence of the event (e.g. a bill, receipt or report).

The aforementioned cases in no way constitute an exhaustive list and function exclusively as examples. MEETRIP reserves the right to refuse a request to remove a flag in the event that such a request appears to be unjustified or if the justifying evidence is insufficient. MEETRIP will attribute an Orange Flag to any Professional Tourist Guide or Tour Provider appearing to have used medical certificates or other evidence abusively.

ARTICLE 8 - INVOICING

8.1 Billing by MEETRIP for Intermediary Services provided to Professional Tourist Guides or Tour Providers

The applicable costs for the Intermediary Services provided by MEETRIP to the Professional Tourist Guide or Tour Provider is paid through a commission to the sum of 20% of the price of the Client Services paid by the User. This commission is subject to an invoice generated by MEETRIP and sent to the Professional Tourist Guide or Tour Provider. The invoice is created in accordance with the applicable French regulations currently in effect.

8.2 Issue of invoices for Client Services to the User by MEETRIP in the name and on behalf of the Professional Tourist Guide or Tour Provider

By signing these Ts&Cs, the Professional Tourist Guide or Tour Provider gives MEETRIP the power to issue invoices to Users in their name and on their behalf.

MEETRIP will strictly in accordance with the present terms regarding the issue of invoices, as an authorised representative of the Professional Tourist Guide or Tour Provider.

The Professional Tourist Guide or Tour Provider must fill in all the necessary fields for the creation of invoices through the back-office provided for them on Meetrip.com: this includes but is not limited to their name, NI or company registration number, billing address, tax number if applicable, applicable tax rate and all other taxes and legal requirements for the issue of invoices.

The present terms regarding the issue of invoices notwithstanding, the Professional Tourist Guide or Tour Provider maintains full responsibility as regards the content of invoices, their respective obligations and the appropriate application of VAT and other tax or invoicing regulations.

ARTICLE 9 - SECURITY AND PERSONAL DETAILS

9.1 Personal details collected by MEETRIP

MEETRIP and the processing carried out by its intermediary are subject to a declaration to the French Data Protection Authority (CNIL). In the event of a request to open a Professional Tourist Guide or Tour Provider Account, or any other form of exchange with a Professional Tourist Guide or Tour Provider, MEETRIP collects personal details according to Law N°78-17 of 6 January 1978 (Law on Information Technology, Files and Civil Liberties). As regards a request to create a Professional Tourist Guide or Tour Provider Account, the Form communicates personal details to MEETRIP for the sole purpose of offering Client Services, and these personal details are requested by MEETRIP with the sole purpose of offering its Intermediary Services. MEETRIP can neither assure Professional Tourist Guides or Tour Providers access to Intermediary Services, nor respond to all other requests, if the Professional Tourist Guide or Tour Provider refuses to communicate certain requisite information or if the Professional Tourist Guide or Tour Provider communicates false information, such information being indispensable to business relations with Professional Tourist Guides and Tour Providers on the one hand, and Users on the other hand. As such, the Professional Tourist Guide or Tour Provider guarantees the veracity of the information they communicate to MEETRIP.

9.2 Rights of the Professional Tourist Guide or Tour Provider regarding their personal details

The Professional Tourist Guide or Tour Provider has the right to access, rectify and erase personal details concerning them, as well as the right to oppose, on legitimate grounds, the cession or communication of their details to third parties.

This right can be exercised by written request to MEETRIP - 16 boulevard Flandrin, 75116 Paris or by email at: contact@meetrip.com.

9.3 Cookies and targeted advertising system

MEETRIP automatically collects information on the Professional Tourist Guide or Tour Provider’s use of the Website, principally by using cookies that follow their navigation of the Website. These cookies are digital identifiers transferred to the memory terminal of the Professional Tourist Guide or Tour Provider. They are used to facilitate the Professional Tourist Guide or Tour Provider’s navigation through the Website by enabling MEETRIP to recognise them and offer them a personalised and attractive navigation experience.

MEETRIP is also aware of existing navigation details on partner sites that allow the company to find out the last pages visited on their sites by the Professional Tourist Guide or Tour Provider. Professional Tourist Guides or Tour Providers who do not wish to benefit from this form of targeted advertising can request to opt out using the following email address: contact@meetrip.com. Their request will then be processed by MEETRIP within 7 working days.

It is stated however that the Professional Tourist Guides and Tour Providers will continue to see advertising displayed on the MEETRIP Website during their visits, the exception being that this advertising will not be targeted using navigation information or information from cookies.

The Professional Tourist Guide or Tour Provider can deactivate cookies or delete them using their browser settings.

MEETRIP reserves the right to publish information provided by the Professional Tourist Guide or Tour Provider to partner websites and platforms in order to maximise the visibility of the services offered by the latter and to promote their guided tour. The websites and platforms concerned will be those that have established partnerships with MEETRIP before or after the present Ts&Cs. The Professional Tourist Guides or Tour Providers who do not wish to benefit from this communication policy can inform MEETRIP of this by writing to the following email address: contact@meetrip.com. Their request will then be processed by MEETRIP within 7 working days.

ARTICLE 11 - DUE DILIGENCE REGARDING THE CONTENT AND BEHAVIOUR OF PROFESSIONAL TOURIST GUIDES AND TOUR PROVIDERS

11.1 Behaviour of the Professional Tourist Guide or Tour Provider regarding the fulfilment of their services

Professional Tourist Guides or Tour Providers are wholly responsible for the guided tours that they offer and hereby expressly acknowledge that they are aware of all the information related to countries presenting a risk (high or low) in terms of security and have, prior to any tour, taken all the necessary measures to preserve the security of the people to whom they offer their Client Services, as well as their own. The Professional Tourist Guide or Tour Provider acknowledges that they are aware of the recommendations, especially those of the Ministry of Foreign Affairs, regarding countries posing particular risks, are fully informed of these recommendations issued by the Ministry and are responsible for them to that effect.

Moreover, the Tour Provider is expressly forbidden to go to places reserved for Professional Tourist Guides. MEETRIP is in no way responsible for the violation of this obligation.

11.2 Behaviour of the Professional Tourist Guide or Tour Provider regarding the publication of Content

The functionalities of the MEETRIP Website allow the Professional Tourist Guide or Tour Provider who offers Client Services to post photographs (that they have the authorisation to publish) of a Client Service on the Website. Photographs come under the definition of “Content”. The Professional Tourist Guide or Tour Provider is wholly responsible for their Content and thus recognises that the information they post is likely to be brought to Users’, Professional Tourist Guides’ or Tour Providers’ attention and the public’s attention in general. The Professional Tourist Guide or Tour Provider maintains to own the publication and usage rights of this Content or to have acquired them.

The Professional Tourist Guide or Tour Provider agrees:

11.3 Content posted by Users

The Professional Tourist Guide or Tour Provider is informed of the opportunity given to Users to post Content on the site - notably in the form of comments and photographs of Client Services provided by Professional Tourist Guides or Tour Providers. This content is accessible to all Users, Professional Tourist Guides and Tour Providers. Each User is responsible for the entirety of the Content they publish through their Client Account.

11.4 Intellectual property rights to Content

The Professional Tourist Guide or Tour Provider gives MEETRIP the right to use, reproduce, adapt, modify, translate, post, distribute and present to the public any Content of any type known to the date that these Ts&Cs come into effect, on a global scale and for the legal duration of the intellectual property rights that they relate to. In this capacity, the Professional Tourist Guide or Tour Provider maintains to possess the entirety of the rights and powers necessary to grant such a licence.

11.5 Abuse notification and Content removal

The Professional Tourist Guide or Tour Provider is able to notify MEETRIP of any abuse of Content, a User, Professional Tourist Guide or Tour Provider by clicking “Report abuse”, as shown on the Website. MEETRIP reserves the right to remove any Content in the event the Professional Tourist Guide or Tour Provider does not respect the conditions mentioned above or for any other reason deemed necessary to protect its interests; MEETRIP can do this at any time and without prior warning to the Professional Tourist Guide or Tour Provider.

ARTICLE 12 - INTELLECTUAL PROPERTY RIGHTS TO THE MEETRIP WEBSITE

The MEETRIP Website and Mobile Application constitute a structure of intellectual material of all kinds, including text, images, sounds and logos.

Each of these elements is subject to intellectual property rights. These rights are the exclusive property of MEETRIP or have been subject to a complete or partial cession, or licence, by their author, beneficiary or a beneficiary of MEETRIP.

The present Ts&Cs do not authorise, in all or in part, the commercial reproduction, modification or use of the different intellectual elements of MEETRIP.

Any commercial reproduction, modification, adaptation, translation or use, in all or in part, publication licensing, transfer or sale, by whatever means, in all or in part, of the Website as well as the commercial name of the “MEETRIP” brand, is strictly forbidden, except by MEETRIP’s prior express written consent.

MEETRIP grants to the Professional Tourist Guide or Tour Provider a basic temporary user’s licence, limited to the instruments necessary to use the MEETRIP Website for intelligence purposes and/or to use Intermediary Services, with respect to the present conditions so established.

The Professional Tourist Guide or Tour Provider accepts, as a user of Intermediary Services, to use no brand, commercial name or logo of a company or organisation that might be confused with MEETRIP.

Any attempt at intrusion or piracy, as well as unauthorised commercial reproduction, modification or use, in all or in part, of the different intellectual elements of the Website, is forbidden and will render the author(s) liable to legal action.

ARTICLE 13 - RESPONSIBILITY AND INSURANCE

MEETRIP holds no responsibility for false or forged information communicated by the Professional Tourist Guide or Tour Provider to the User.

Each Professional Tourist Guide or Tour Provider hereby expressly maintains to possess all the necessary insurance for the fulfilment of the guided tours they offer to Users. MEETRIP reserves the right to request the provision of insurance certificates from any Professional Tourist Guide or Tour Provider without reserve. Any refusal by the Professional Tourist Guide or Tour Provider will lead to their immediate removal from the MEETRIP Website and Mobile Application. MEETRIP works exclusively as an intermediary and cannot be held responsible for issues with the insurance of a Professional Tourist Guide or Tour Provider. MEETRIP does not insure any guided tour, which remains under the complete control and responsibility of the Professional Tourist Guide or Tour Provider.

MEETRIP INFORMS THE USER, PROFESSIONAL TOURIST GUIDES AND TOUR PROVIDERS THAT EACH PROFESSIONAL TOURIST GUIDE AND TOUR PROVIDER IS FULLY RESPONSIBLE FOR SETTING THE PRICES FOR THEIR CLIENT SERVICES AND FULFILLING THE SERVICES THEY OFFER ON THE WEBSITE. MEETRIP CANNOT BE HELD RESPONSIBLE FOR THIS IN ANY WAY OR FOR ANY REASON.

MEETRIP is an intermediary that connects Users and Professional Tourist Guides or Tour Providers by way of an online platform. MEETRIP thus holds no responsibility in this regard, and as such, Professional Tourist Guides, Tour Providers and Users acknowledge full responsibility for deciding whether or not to establish contact. Professional Tourist Guides or Tour Providers assume all responsibility pertaining or supposedly pertaining to the use of the MEETRIP Website or Mobile Application. MEETRIP offers Users looking for Client Services information and a tool to help connect them with the Professional Tourist Guides and Tour Providers who provide them. MEETRIP does not itself supply any Client Services and does not take any responsibility for any Client Service. As a result, MEETRIP excludes liability for any type of damage, loss (including direct, indirect, consecutive, punitive, special loss or damages, etc.), any claim, request, any fees (including legal fees), any penalties and fines (including from third party) directly or indirectly linked to the relation between a User and a Professional Tourist Guide or Tour Provider, including but not exclusively for any action or omission of the User (including payment) and of the Professional Tourist Guide or Tour Provider, the content and consequences of (posting or distribution of) any comment, estimation or assessment about the Professional Tourist Guide or Tour Provider and the cancellation of the Client Account, Professional Tourist Guide or Tour Provider for any reason.

MEETRIP cannot be held responsible for false statements by a User, Professional Tourist Guide or Tour Provider, or for disrespect of regulations by the User, Professional Tourist Guide or Tour Provider. MEETRIP denies any responsibility for encounters, Client Services or any guided tour between Users or User(s) and Professional Tourist Guide(s) or Tour Provider(s), or regarding Professional Tourist Guides’ and/or Tour Providers’ use of Intermediary Services.

MEETRIP maintains that the content of the Website may contain technical inaccuracies, typography mistakes or omissions, and that this content can be modified or updated without notice.

MEETRIP keeps the Website updated but cannot guarantee, at any time, the accuracy and completeness of the information released.

MEETRIP cannot be held responsible for any potentially damaging consequences of the use of such information by Users, Professional Tourist Guides and Tour Providers.

MEETRIP provides no express or implicit guarantee, including but not limited to the question of continuity, performance and durability of Intermediary Services, the consistency and compliance of an Intermediary Service for a specific use, the quality or absence of defects in Intermediary Services, the exclusion and non-violation of laws and regulations or of these Ts&Cs of Intermediary Services by other Users, Professional Tourist Guides or Tour Providers.

The Professional Tourist Guide or Tour Provider acknowledges that they use Intermediary Services at their own risk. Intermediary Services are provided “as they are” and are accessible without guarantee of availability and regularity.

MEETRIP will endeavour to make such Intermediary Services available on a 24/7 basis, except in case of emergency or an event out of MEETRIP’s control, subject to maintenance periods, potential failures, technical hazards linked to the nature of the internet network, malevolent actions or any infringement of MEETRIP’s equipment or software programs.

The Professional Tourist Guide or Tour Provider is responsible for installing, using and maintaining the technical equipment necessary to access to MEETRIP, as well as their protection against any form of virus contamination or any other malevolent software or code. MEETRIP does not guarantee compatibility with any version of browser or configuration of the Professional Tourist Guide or Tour Provider’s terminal.

Hyperlinks may redirect towards other websites, other content or resources. MEETRIP holds no responsibility for other websites, content or resources in contravention of applicable legal conditions or regulations currently in force.

In case the Tour Provider acts as part of their guided tour within an organisation in the tourism sector (e.g. guiding agency, guiding association, incoming travel agency, business offering factory tours or leisure tours or tour operators), it is the legal entity that the Tour Provider represents that holds responsibility, not the Tour Provider as a natural person.

This is why the Tour Provider, acting on behalf of a legal entity, must provide the name and accurate contact information (e.g company registration number, address, etc.) of this legal entity in order to engage its responsibility.

ARTICLE 14 - DURATION - TERMINATION

14.1 Duration

The registration to Intermediary Services takes effect from the moment the Professional Tourist Guide or Tour Provider Account is created. The present Ts&Cs are of indeterminate duration, except in case of termination by the Professional Tourist Guide or Tour Provider or by MEETRIP, as defined hereinafter.

14.2 MEETRIP – Right to terminate

MEETRIP reserves the right to deactivate without notice any Professional Tourist Guide or Tour Provider Account, in the following cases:

  • • Disrespect of the present Ts&Cs by the Professional Tourist Guide or Tour Provider;
  • • Disrespect of the applicable guiding regulations for Professional Tourist Guides by the Professional Tourist Guide or Tour Provider;
  • • Complaints from one or more Users;
  • • Violation of the Website’s integrity, fraud, counterfeit, intrusion or unauthorised maintenance of the computer system of the Website MEETRIP, this includes an attempt to do so;
  • • If the Professional Tourist Guide or Tour Provider is seen to be acting contrary to MEETRIP’s interests.

If MEETRIP deactivates the Professional Tourist Guide or Tour Provider Account of a Professional Tourist Guide or Tour Provider, their personal data will then be stored for a year following deactivation.

The former Professional Tourist Guide or Tour Provider can then exercise their right to access, rectification and opposition as stated by Law No. 78-17 of 6 January 1978 (Law on Information Technology, Files and Civil Liberties), modified in 2004, at any time by written request to MEETRIP - 16 boulevard Flandrin, 75116 Paris or MEETRIP’s email address: contact@meetrip.com.

MEETRIP reserves the right, at any time and without prior warning, to suspend, restrain or refuse a Professional Tourist Guide or Tour Provider access to Intermediary Services, as well as to modify, suspend or temporarily stop their use of the Website.

14.3 Professional Tourist Guide or Tour Provider’s right to terminate

Professional Tourist Guides or Tour Providers can deactivate their Account at any time by written request. This action comes into effect after the fulfilment of any Client Service Bookings made prior through MEETRIP and from the day MEETRIP receives said written request.

This right may be exercised by written request sent to MEETRIP via the above address.

ARTICLE 15 - APPLICABLE LAW AND OTHER PROVISIONS

15.1 Applicable Law and Language

THESE Ts&Cs ARE RULED BY FRENCH LAW.

In case of dispute, the only relevant court is that in the location of MEETRIP’s headquarters.

The original version of the present Ts&Cs in French may have been translated into other languages. The translated version of these Ts&Cs is established with MEETRIP’s written authorisation and agreement only and no one can claim any right to the translated version. In case of dispute regarding the content or interpretation of these Ts&Cs, or in case of conflict, ambiguity, inconsistency or differences between the French version and translated version, only the French version will prevail, its application being final and binding. The French version will be the version used in legal procedures, subject to mandatory provisions.

The cancellation of a statement included in these Ts&Cs does not constitute the cancellation of these Ts&Cs as a whole, for all that the statement may be considered decisive and substantial, and that its cancellation may cause the general balance of these Ts&Cs to be called into question. In case of cancellation of a statement that is considered non-substantial, MEETRIP commits to replacing it with an equivalent statement.

15.2 Modifications of the Terms and Conditions

MEETRIP maintains that it reserves the right to modify the terms, conditions and notices of the present Terms and Conditions at any time. It is thus advised that the Professional Tourist Guide or Tour Provider and User regularly consult the most recent version of the Terms and Conditions available on the Website. Any Professional Tourist Guide, Tour Provider or User who does not accept modifications made to the Website or Terms and Conditions by MEETRIP may not access or use the Website.
